(hereinafter referred to as “the Seller”)
Scope of Application
These General Terms and Conditions of Sale (GTCS) apply to all sales concluded between SAHARÔME S.A.S. and any professional Buyer (individual or legal entity) in the cosmetics, wellness, personal care, aromatherapy, or fragrance industries.
They apply to international sales of natural raw materials, unless otherwise agreed in writing.
Products – Quality – Intended Use
The products sold by SAHARÔME S.A.S. are pure and natural vegetable oils and essential oils.
The Buyer is solely responsible for verifying their compatibility with the intended use. SAHARÔME S.A.S. guarantees compliance of the products with their specifications at the time of delivery only.
The products are intended exclusively for industrial use. Upon request, the following documents may be provided: technical data sheet, certificate of analysis, safety data sheet (SDS), certificate of origin, REACH declaration.
The Buyer is solely responsible for ensuring compliance of the products with their formulations, processes, local standards, and applicable regulations in the country of use.
Orders
Orders must be submitted in writing (email or purchase order) and are only considered final upon written confirmation by the Seller.
Any cancellation or modification must be made before the shipping date notified by SAHARÔME S.A.S. and requires written approval. Charges may apply for customized, pre-packed, or made-to-order products.
Prices – Payment Terms
Prices are expressed in euros.
France & European Union
Prices include transport and duties up to the delivery location (DDP). French VAT applies for French customers. For EU customers with a valid VAT number, prices are invoiced excluding VAT (reverse charge).
Outside the European Union
Prices are exclusive of French VAT and include transport, import duties, and local taxes according to the DDP Incoterm.
Payment terms: Payment is due upon receipt of invoice, unless otherwise agreed in writing. The invoice is issued upon shipment.
Late payments automatically incur interest at the ECB rate + 10 points and a fixed €40 recovery fee.
Price validity: Prices valid until 2026-09-01, subject to availability and possible changes.
Delivery – Transfer of Risk
Unless otherwise agreed, delivery is made under DDP – Delivered Duty Paid.
Products are delivered to the address provided by the Buyer, with the Seller handling transport, insurance, export/import customs formalities, and local taxes.
Transfer of risk and ownership occurs upon actual delivery to the Buyer’s site.
The Buyer agrees to assist with any necessary customs formalities in their country.
Reception – Claims
The Buyer must inspect the products upon delivery.
Any claim must be made within 7 calendar days with supporting documentation. After this period, the products shall be deemed accepted. No return will be accepted without prior written consent from the Seller.
Warranty – Liability
SAHARÔME S.A.S. guarantees product compliance with technical specifications at the time of delivery.
The Seller’s liability is limited to the value of the products in question. No indirect damages (production loss, recall, loss of market, etc.) will be compensated.
Force Majeure
The Seller shall not be held liable for delays or failure due to force majeure events (strike, war, health crisis, natural disaster, etc.).
Intellectual Property
All documents, technical data, certificates, samples, or formulations remain the exclusive property of SAHARÔME S.A.S.
No use or reproduction is permitted without written consent.
Personal Data – Traceability
Data is processed solely within the context of the commercial relationship and retained according to legal obligations.
Product traceability is ensured for each batch.
Regulatory Compliance for Product Use
The Buyer is solely responsible for ensuring compliance with local regulations (cosmetics, IFRA, consumer safety, product registration).
Products are intended for professional use only. SAHARÔME S.A.S. disclaims all liability in case of misuse or non-compliant use.
REACH Clause and Regulatory Compliance
SAHARÔME S.A.S. ensures compliance with REACH Regulation (EC No. 1907/2006), according to product classification.
A compliance declaration can be provided upon request.
The Buyer is responsible for verifying compliance for their specific use and for export regulations outside the EU.
Applicable Law – Jurisdiction
These GTCS are governed by French law.
Any dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Villefranche-sur-Saône, even in cases involving multiple defendants or third-party claims.
